Construction of some projects has already begun, and the company has an <b>extensive project pipeline<\/b>. Additional projects are at <b>various stages<\/b> of bidding <b>review<\/b> and <b>contract negotiations<\/b>. \nThe end customers are <b>established small and medium-sized enterprises (SMEs)<\/b> in East Africa, operating in sectors such as agriculture, food production, manufacturing, tourism, and logistics. These include <\/span><b><span data-contrast=\"none\">photovoltaic solar systems<\/span><\/b><span data-contrast=\"none\">, smart <\/span><b><span data-contrast=\"none\">battery storage systems, <\/span><\/b><span data-contrast=\"none\">and <\/span><b><span data-contrast=\"none\">power stabilization technologies<\/span><\/b><span data-contrast=\"none\">.\u00a0<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">The focus is on <\/span><b><span data-contrast=\"none\">established commercial and industrial customers<\/span><\/b><span data-contrast=\"none\"> in Kenya, Uganda and Tanzania to help them transition from diesel generators to clean and reliable renewable energy sources.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">As part of the project<\/span><i><span data-contrast=\"none\">, Ariya Finergy<\/span><\/i><span data-contrast=\"none\"> plans to finance the installation of <\/span><b><span data-contrast=\"none\">4,750 MW of photovoltaic systems<\/span><\/b><span data-contrast=\"none\"> and <\/span><b><span data-contrast=\"none\">2 MWh of battery systems<\/span><\/b><span data-contrast=\"none\"> in various companies in East Africa. Each plant is expected to have an average capacity of <\/span><b><span data-contrast=\"none\">300 kWp<\/span><\/b><span data-contrast=\"none\">, resulting in the installation of <\/span><b><span data-contrast=\"none\">about 16 systems<\/span><\/b><span data-contrast=\"none\">. These measures allow companies to <\/span><b><span data-contrast=\"none\">benefit from clean solar energy<\/span><\/b><span data-contrast=\"none\">, <\/span><b><span data-contrast=\"none\">reduce energy costs, <\/span><\/b><span data-contrast=\"none\">and <\/span><b><span data-contrast=\"none\">increase operational efficiency<\/span><\/b><span data-contrast=\"none\">. In addition, the funds will support <\/span><i><span data-contrast=\"none\">Ariya Finergy&#8217;s<\/span><\/i><span data-contrast=\"none\"> growth and expansion in <\/span><b><span data-contrast=\"none\">Uganda and Tanzania<\/span><\/b><span data-contrast=\"none\">.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">Overall, this project not only aims to improve the <\/span><b><span data-contrast=\"none\">reliability and affordability<\/span><\/b><span data-contrast=\"none\"> of energy supply for businesses, but it also makes a <\/span><b><span data-contrast=\"none\">valuable contribution to sustainable economic growth<\/span><\/b><span data-contrast=\"none\"> in the growing countries of East Africa.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t<div class=\"elementor-accordion-item\">\n\t\t\t\t\t<div id=\"elementor-tab-title-7982\" class=\"elementor-tab-title\" data-tab=\"2\" role=\"button\" aria-controls=\"elementor-tab-content-7982\" aria-expanded=\"false\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon elementor-accordion-icon-left\" aria-hidden=\"true\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-closed\"><i class=\"fas fa-plus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-opened\"><i class=\"fas fa-minus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t<a class=\"elementor-accordion-title\" tabindex=\"0\">Social & Economic Impacts <\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t<div id=\"elementor-tab-content-7982\" class=\"elementor-tab-content elementor-clearfix\" data-tab=\"2\" role=\"region\" aria-labelledby=\"elementor-tab-title-7982\"><p><i><span data-contrast=\"none\">Ariya Finergy<\/span><\/i><span data-contrast=\"none\">&#8216;s business model actively contributes to <\/span><b><span data-contrast=\"none\">four of the United Nations&#8217; Sustainable Development Goals<\/span><\/b><span data-contrast=\"none\">:<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">By installing solar panels, <\/span><i><span data-contrast=\"none\">Ariya&#8217;s <\/span><\/i><span data-contrast=\"none\">customers<\/span><b><span data-contrast=\"none\"> will receive clean, renewable electricity<\/span><\/b><span data-contrast=\"none\"> that is a cost-effective alternative to Kenya&#8217;s grid or diesel generators (Goal 7.2).<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">Many of <\/span><i><span data-contrast=\"none\">Ariya&#8217;s <\/span><\/i><span data-contrast=\"none\">clients are involved in agriculture, which accounts for about 57% of jobs in Kenya. They are particularly well represented in the tea, horticulture and floriculture sectors, which together <\/span><b><span data-contrast=\"none\">account for about 33% of Kenya&#8217;s exports<\/span><\/b><span data-contrast=\"none\">. A single tea factory employs an average of 3000 people, with each individual generating the income for a family with an average of four members. Expensive electricity costs, frequent power outages and poor power quality are recurring problems here.\u00a0<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">An intelligently planned solar system can thus <\/span><b><span data-contrast=\"none\">indirectly promote economic and sustainable growth<\/span><\/b><span data-contrast=\"none\"> (Goal 8.1).<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><i><span data-contrast=\"none\">Ariya&#8217; <\/span><\/i><span data-contrast=\"none\">s holistic approach combines various <\/span><b><span data-contrast=\"none\">innovative technologies<\/span><\/b><span data-contrast=\"none\"> such as solar thermal collectors and cost-effective energy storage systems to meet the energy needs of its customers in the industrial sector. The <\/span><b><span data-contrast=\"none\">smart systems also address <\/span><\/b><span data-contrast=\"none\">the <\/span><b><span data-contrast=\"none\">deficiencies in the electricity infrastructure,<\/span><\/b><span data-contrast=\"none\"> which mainly lead to high electricity costs, frequent power outages and poor power quality (Goal 9.4).\u00a0<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">By <\/span><b><span data-contrast=\"none\">providing financing<\/span><\/b><span data-contrast=\"none\"> to its customers, <\/span><i><span data-contrast=\"none\">Ariya <\/span><\/i><span data-contrast=\"none\">also contributes to Goal 9.3.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><i><span data-contrast=\"none\">Ariya\u2019 s<\/span><\/i><span data-contrast=\"none\"> business model <\/span><b><span data-contrast=\"none\">counteracts climate change<\/span><\/b><span data-contrast=\"none\"> (Goal 13) as the solar arrays and other energy-efficient solutions replace diesel generators and grid power, 80% of which is generated in thermal power plants, ensuring a <\/span><b><span data-contrast=\"none\">significant reduction in CO2 emissions<\/span><\/b><span data-contrast=\"none\">. In addition, <\/span><i><span data-contrast=\"none\">Ariya <\/span><\/i><span data-contrast=\"none\">directly contributes to this goal by replacing the unsustainable firewood heating systems with solar thermal energy.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t<div class=\"elementor-accordion-item\">\n\t\t\t\t\t<div id=\"elementor-tab-title-7983\" class=\"elementor-tab-title\" data-tab=\"3\" role=\"button\" aria-controls=\"elementor-tab-content-7983\" aria-expanded=\"false\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon elementor-accordion-icon-left\" aria-hidden=\"true\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-closed\"><i class=\"fas fa-plus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-opened\"><i class=\"fas fa-minus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t<a class=\"elementor-accordion-title\" tabindex=\"0\">Climate protection<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t<div id=\"elementor-tab-content-7983\" class=\"elementor-tab-content elementor-clearfix\" data-tab=\"3\" role=\"region\" aria-labelledby=\"elementor-tab-title-7983\"><p><span data-contrast=\"none\">The electricity grid in East Africa is predominantly powered by clean energy, but the<\/span><b><span data-contrast=\"none\"> inconsistent quality and reliability<\/span><\/b><span data-contrast=\"none\"> of electricity forces many companies to resort to <\/span><b><span data-contrast=\"none\">diesel-powered generators<\/span><\/b><span data-contrast=\"none\">. This leads to significant diesel consumption and <\/span><b><span data-contrast=\"none\">increased CO2 emissions.\u00a0<\/span><\/b><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><i><span data-contrast=\"none\">Ariya Finergy <\/span><\/i><span data-contrast=\"none\">offers a sustainable solution by helping companies switch <\/span><b><span data-contrast=\"none\">to solar energy<\/span><\/b><span data-contrast=\"none\">. This allows them<\/span><b><span data-contrast=\"none\"> to significantly reduce their carbon footprint<\/span><\/b><span data-contrast=\"none\"> while increasing their operational efficiency.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">The financing of the project is expected to <\/span><b><span data-contrast=\"none\">install 4.75 MW of solar plants<\/span><\/b><span data-contrast=\"none\">, which will generate <\/span><b><span data-contrast=\"none\">6,022 MWh<\/span><\/b><span data-contrast=\"none\"> of clean energy annually and <\/span><b><span data-contrast=\"none\">reduce CO2 emissions by 3,005.1 tons per year.\u00a0<\/span><\/b><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">These savings are based on the CO2 emission values of the power grids in Kenya, Uganda and Tanzania, which currently emit 499 g, 295 g and 200 g of CO2 per kWh, respectively.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">Over the course of the project period, <\/span><b><span data-contrast=\"none\">a total of 14,720 tonnes of CO2 will be saved<\/span><\/b><span data-contrast=\"none\">. Over a period of <\/span><b><span data-contrast=\"none\">25 years<\/span><\/b><span data-contrast=\"none\">, the life of the solar system, we aim <\/span><b><span data-contrast=\"none\">to prevent <\/span><\/b><span data-contrast=\"none\">a total of 73,600 tons of CO2 emissions.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t<div class=\"elementor-accordion-item\">\n\t\t\t\t\t<div id=\"elementor-tab-title-7984\" class=\"elementor-tab-title\" data-tab=\"4\" role=\"button\" aria-controls=\"elementor-tab-content-7984\" aria-expanded=\"false\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon elementor-accordion-icon-left\" aria-hidden=\"true\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-closed\"><i class=\"fas fa-plus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t<span class=\"elementor-accordion-icon-opened\"><i class=\"fas fa-minus\"><\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t<a class=\"elementor-accordion-title\" tabindex=\"0\">Risk reduction measures<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t<div id=\"elementor-tab-content-7984\" class=\"elementor-tab-content elementor-clearfix\" data-tab=\"4\" role=\"region\" aria-labelledby=\"elementor-tab-title-7984\"><p><span data-contrast=\"none\">The investment risks associated with the subordinated loan are described in detail in the VIB under point 5 and in the risk information. The measures taken to mitigate risk are explained in this section:<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><b><span data-contrast=\"none\">a) Dual corporate structure:<\/span><\/b><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"none\">Two special purpose vehicles<\/span><b><span data-contrast=\"none\">, so-called &#8220;Special Purpose Vehicles&#8221; (SPVs), are used<\/span><\/b><span data-contrast=\"none\"> for the crowdfunding campaign:<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><ol><li><span data-contrast=\"none\"> The first, called <\/span><i><span data-contrast=\"none\">Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt), <\/span><\/i><span data-contrast=\"none\">acts as borrower and issuer and is domiciled in <\/span><b><span data-contrast=\"none\">Germany<\/span><\/b><span data-contrast=\"none\">. It forwards the raised capital <\/span><b><span data-contrast=\"none\">as a secured project loan<\/span><\/b><span data-contrast=\"none\"> to the local asset company <\/span><i><span data-contrast=\"none\">Ariya Finergy Limited (AFL).<\/span><\/i><span data-contrast=\"none\"> In return, collateral is <\/span><b><span data-contrast=\"none\">pledged <\/span><\/b><span data-contrast=\"none\">(see further down in this text section). In addition, <\/span><i><span data-contrast=\"none\">Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt)<\/span><\/i><span data-contrast=\"none\"> will not engage in any other business activities during the entire term of the loan in order not to mix the risk with other projects. The shareholders and managing directors of <\/span><i><span data-contrast=\"none\">Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt) <\/span><\/i><span data-contrast=\"none\">are independent of the <\/span><i><span data-contrast=\"none\">Ariya Group<\/span><\/i><span data-contrast=\"none\">. In addition, <\/span><i><span data-contrast=\"none\">Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt) <\/span><\/i><span data-contrast=\"none\">has a <\/span><b><span data-contrast=\"none\">liquidity buffer of 25,000 euros<\/span><\/b><span data-contrast=\"none\"> of the funds raised in crowdfunding. The liquidity buffer serves as a financial cushion for any necessary measures by the Issuer in the event that the Project Owner does not meet its payment obligations.<\/span><\/li><\/ol><ol start=\"2\"><li><span data-contrast=\"none\"> The <\/span><i><span data-contrast=\"none\">second special purpose vehicle<\/span><\/i><span data-contrast=\"none\">, <\/span><i><span data-contrast=\"none\">Ariya Finergy Limited (AFL) <\/span><\/i><span data-contrast=\"none\">based in Kenya<\/span><i><span data-contrast=\"none\">,<\/span><\/i><span data-contrast=\"none\"> is the local asset company used by <\/span><i><span data-contrast=\"none\">Ariya <\/span><\/i><span data-contrast=\"none\">for the purpose of financing as a pure asset company. It acts <\/span><i><span data-contrast=\"none\">as a borrower vis-\u00e0-vis Ariya Emissions 6 UG (haftungsbeschr\u00e4nkt)<\/span><\/i><b><span data-contrast=\"none\"> and remains the owner of the project assets financed and generated with the project loan and pledged to the German UG during the entire term of the loan.<\/span><\/b> <i><span data-contrast=\"none\">AFL<\/span><\/i><span data-contrast=\"none\"> may not take out any further loans <\/span><b><span data-contrast=\"none\">during the term of this loan without the consent of <\/span><\/b><i><span data-contrast=\"none\">Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt<\/span><\/i><span data-contrast=\"none\">). <\/span><i><span data-contrast=\"none\">AFL<\/span><\/i><span data-contrast=\"none\"> may not engage in any business activity<\/span><b><span data-contrast=\"none\"> other than the one in which it is already engaged during<\/span><\/b><span data-contrast=\"none\"> the term of the loan.<\/span><\/li><\/ol><p><span data-ccp-props=\"{}\">\u00a0<\/span><b><span data-contrast=\"none\">b) Project assets<\/span><\/b><span data-contrast=\"none\">:<\/span><\/p><p><span data-contrast=\"none\">The assets<\/span><i><span data-contrast=\"none\"> financed <\/span><\/i><span data-contrast=\"none\">by the Kenyan project company <\/span><i><span data-contrast=\"none\">AFL<\/span><\/i><span data-contrast=\"none\"> as part of this campaign<\/span><b><span data-contrast=\"none\"> are available to<\/span><\/b><span data-contrast=\"none\"> the German issuer<\/span><i><span data-contrast=\"none\"> Afrika Emissions 6 UG (haftungsbeschr\u00e4nkt) <\/span><\/i><b><span data-contrast=\"none\">as collateral<\/span><\/b><span data-contrast=\"none\"> for the forwarding loan. The assets are in particular the solar plants financed with crowdfunding and <\/span><b><span data-contrast=\"none\">leased to customers or the customer receivables<\/span><\/b><span data-contrast=\"none\"> of <\/span><i><span data-contrast=\"none\">AFL<\/span><\/i><span data-contrast=\"none\"> from power purchase agreements (= PPAs) with the customers.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><b><span data-contrast=\"none\">c) Payments in USD or Euros:<\/span><\/b><\/p><p><span data-contrast=\"none\">All contracts, with a few exceptions, require <\/span><b><span data-contrast=\"none\">customers to pay in USD or euros<\/span><\/b><span data-contrast=\"none\">. Since the majority of <\/span><i><span data-contrast=\"none\">Ariya<\/span><\/i><span data-contrast=\"none\">&#8216;s customers operate internationally and generate sales in hard currency, <\/span><b><span data-contrast=\"none\">this significantly reduces currency risks in the local currency KES.<\/span><\/b><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><b><span data-contrast=\"none\">d) Equity financing<\/span><\/b><span data-contrast=\"none\">:<\/span><\/p><p><i><span data-contrast=\"none\">AFL<\/span><\/i><span data-contrast=\"none\"> and its parent company <\/span><i><span data-contrast=\"none\">Ariya Finergy Holding Limited Mauritius (AFHL Mauritius)<\/span><\/i><span data-contrast=\"none\"> contribute <\/span><b><span data-contrast=\"none\">at least 20% <\/span><\/b><span data-contrast=\"none\">of the project costs in the form of retained earnings and equity.
